Terms of service and user agreements for K.A. ENTERPRISES

1. Acceptance of Terms

By accessing and using the services provided by K.A. ENTERPRISES ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

K.A. ENTERPRISES provides IT services including but not limited to:

  • Web and mobile application development
  • Cloud computing and DevOps services
  • Cybersecurity and compliance solutions
  • Process automation and integration
  • Data analytics and visualization
  • Managed IT support and maintenance

3. User Responsibilities

3.1 Accurate Information

You agree to provide accurate, current, and complete information about yourself and your business when using our services.

3.2 Compliance with Laws

You agree to use our services in compliance with all applicable local, state, national, and international laws and regulations.

3.3 Prohibited Activities

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Transmit any harmful, threatening, abusive, or harassing content
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt our services or servers
  • Use our services to compete with us or solicit our clients

4. Service Level Agreement

4.1 Service Availability

We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance windows and circumstances beyond our control.

4.2 Response Times

We commit to the following response times for support requests:

  • Critical issues: 2 hours during business hours
  • High priority: 4 hours during business hours
  • Medium priority: 24 hours
  • Low priority: 72 hours

5. Payment Terms

5.1 Pricing

Service pricing is as agreed upon in individual service agreements. All prices are in Indian Rupees (INR) unless otherwise specified.

5.2 Payment Schedule

Payment terms vary by service type:

  • Project-based work: 50% upfront, 50% on completion
  • Monthly services: Payment due within 15 days of invoice date
  • Hourly consulting: Payment due within 30 days of invoice date

5.3 Late Payments

Late payments may incur a 1.5% monthly service charge. Services may be suspended for accounts with payments overdue by more than 30 days.

6. Intellectual Property Rights

6.1 Client Ownership

Upon full payment, clients own all custom-developed code, designs, and deliverables created specifically for their project.

6.2 Company Rights

K.A. ENTERPRISES retains rights to:

  • Proprietary frameworks, tools, and methodologies
  • General knowledge and expertise gained during projects
  • Pre-existing intellectual property used in projects

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

  • Business strategies and plans
  • Technical specifications and designs
  • Financial information
  • Customer data and personal information
  • Any other information marked as confidential

8. Limitation of Liability

To the maximum extent permitted by law, K.A. ENTERPRISES shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the total amount paid for services in the 12 months preceding the claim
  • Third-party actions or system failures beyond our control

9. Indemnification

You agree to indemnify and hold harmless K.A. ENTERPRISES from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Content you provide or transmit through our services

10. Termination

10.1 Termination by Client

Clients may terminate services with 30 days written notice. Early termination may incur additional charges as specified in the service agreement.

10.2 Termination by Company

We may terminate services immediately if:

  • Client violates these terms
  • Payment is overdue by more than 30 days
  • Client engages in illegal or harmful activities

11. Data Protection and Privacy

Our data handling practices are governed by our Privacy Policy, which is incorporated into these terms by reference. We comply with applicable data protection laws and implement appropriate security measures.

12. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

13. Dispute Resolution

13.1 Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation before pursuing legal action.

13.2 Arbitration

Any disputes arising from these terms shall be resolved through binding arbitration in Gurugram, Haryana, in accordance with the Arbitration and Conciliation Act, 2015.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any legal action shall be brought in the courts of Gurugram, Haryana.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and K.A. ENTERPRISES regarding the use of our services.

17. Modifications

We reserve the right to modify these terms at any time. Changes will be posted on our website and will become effective immediately. Continued use of our services constitutes acceptance of modified terms.
